Agreement to These Terms

These Terms of Service govern the use of the website at allinalpa.lol and the relationship between a visitor or client and Allin Alpa, LLC. By browsing the site, sending an inquiry or engaging the company for services, a person agrees to these terms. A person who does not agree should not use the website or request services.

These terms operate together with any signed service agreement, statement of work or written proposal accepted by a client. Where a signed document addresses the same subject in more specific detail, that document controls for the services it covers, and these terms continue to apply to everything else.

Nothing on this website is an offer that is capable of acceptance in a way that creates a binding contract for services. A contract is formed only when the company confirms an engagement in writing and the necessary details have been settled.

About the Company

Allin Alpa, LLC is a company organized in the United States with its office at 12228 S Jonathan View Ln, Draper - 84020-8419, United States (US). The company provides alpine base camp services, mountain systems planning and related professional services, and it operates this website as a source of information and a point of contact.

The company can be reached by email at service@allinalpa.lol and by telephone at +14587464596. Business correspondence may be sent to the office address above. Messages received outside normal business hours are handled on the next business day, although the company may respond sooner when circumstances require it.

Scope of Services

The company offers six principal categories of service: trail crew coordination, mountain equipment outfitting, basecamp logistics, seasonal guide services, equipment repair and tuning, and winter safety programs. The services page describes each category in more detail and is incorporated into these terms by reference for descriptive purposes.

Each engagement is defined by a written scope. The scope describes the work, the responsibilities of each party, the expected timeline and the assumptions on which the plan rests. Work outside the written scope requires a separate agreement or a written change before it is performed.

The company may decline an engagement where the request falls outside its competence, where the conditions cannot be managed safely, or where the engagement would conflict with another obligation. The company is not required to give a reason for declining, though it will usually indicate what would be needed for a future request to proceed.

Eligibility

The website is intended for adults who are at least eighteen years of age and who have the legal capacity to enter into a contract. A person who is under eighteen should use the site only with the involvement of a parent or guardian and should not submit personal information independently.

Where a person uses the website on behalf of an organization, that person confirms that they are authorized to act for the organization and to accept these terms on its behalf. The organization is then bound by these terms in the same way as an individual client.

The company does not knowingly provide services to a person who is barred from receiving them under applicable law. A client confirms that no such restriction applies at the time an engagement begins.

Permitted Website Use

The website may be used for lawful purposes connected with learning about the company, evaluating its services and contacting its office. A visitor may read the pages, print a copy for personal reference and share links with colleagues who may be interested in the services.

Use of the website must respect the security and availability of the site. A visitor may not attempt to gain unauthorized access to any part of the site, interfere with its normal operation or place an unreasonable load on its hosting environment.

The design, text and layout of the site are provided for information. A visitor may not present them as their own work, incorporate them into a competing website or use them in a way that suggests an association with the company that does not exist.

Prohibited Conduct

The following activities are not permitted in connection with this website or with any engagement:

  • Submitting false, misleading or impersonating information through the contact form or by email.
  • Using the site to transmit unlawful material, threats, harassment or content that infringes the rights of another person.
  • Attempting to probe, scan or test the vulnerability of the website or its hosting environment without written permission.
  • Introducing malicious code, automated scraping that degrades service, or any device intended to disrupt the site.
  • Using information obtained from the site to send unsolicited commercial messages to the company or its clients.
  • Copying substantial portions of the site content for commercial use without written permission.
  • Interfering with the safety procedures, equipment or working conditions of a crew or guide in the field.

The company may investigate any suspected violation and may suspend access to the site or pause an engagement while the matter is reviewed. Serious violations may be reported to the appropriate authorities.

Inquiries and Proposals

An inquiry sent through the contact form, by email or by telephone begins a conversation rather than a contract. The company will usually reply with questions, a request for details or an indication of whether the request can be met.

A proposal is prepared after the company has enough information to describe the work accurately. A proposal states its validity period, the assumptions on which it is based and any conditions that must be met before work begins. A proposal that has expired may be revised if the client still wishes to proceed.

Information supplied during an inquiry is handled in line with the privacy policy published on this site. A prospective client should avoid sending sensitive personal details until the office has confirmed a suitable method for sharing them.

Client Engagements

An engagement begins when a written proposal or service agreement is accepted and any required deposit has been received. The written scope then defines the work, the deliverables, the timeline and the responsibilities of each party.

Clients are responsible for providing accurate information about their group, their route, their schedule and their existing equipment. A plan built on incorrect information may require revision, and any additional work caused by a material change may be handled as a change to the engagement.

Where a client supplies equipment, records or access permissions, the client confirms that it has the right to do so. The company may rely on that confirmation when planning and performing the work.

Fees and Payment

Fees are set out in the written proposal or service agreement. They may be structured as a fixed amount, a daily rate, a per item charge for repairs or a combination that reflects the work involved. Any estimate is based on the information available at the time and may be adjusted if the scope changes.

Unless the written agreement states otherwise, invoices are due within the period shown on the invoice. Payment may be made by the method indicated by the office. A late payment may attract a charge where permitted by law, and the company may pause work on an account that remains unpaid for an extended period.

Expenses such as travel, shipping, supplier charges and permit fees are billed as agreed in the proposal. The company will seek approval before incurring a material expense that was not anticipated in the agreed budget.

Amounts paid for completed work are generally not refundable. Where a refund is appropriate because work was not performed, the company will issue it promptly and will explain how the amount was calculated.

Scheduling and Weather

Mountain work depends on conditions that no party can control. The company plans around seasonal norms and known access constraints, but weather, road closures, wildfire restrictions and land management decisions may require a schedule to change at short notice.

Where a change is necessary for safety or access, the company will notify the client as soon as practical and will propose an alternative window or a revised plan. Neither party is responsible for a delay caused by conditions outside its reasonable control, though both parties will work in good faith to reduce the effect.

Guide services, trail crew coordination and basecamp logistics are often scheduled months in advance. A client who needs to move a confirmed date should contact the office as early as possible so that crews, equipment and caches can be adjusted without unnecessary cost.

Equipment and Property

Equipment supplied by the company remains the property of the company unless it is sold outright under a separate agreement. A client is responsible for returning borrowed equipment in the condition in which it was supplied, allowing for reasonable wear from the intended use.

A client who supplies equipment for repair confirms that the item is lawfully owned and that any relevant history has been disclosed. The company will inspect items on arrival and may decline work where the item cannot be repaired safely or where the requested repair would exceed the practical life of the equipment.

Risk in equipment supplied for repair passes to the company while it is on the bench and returns to the client when the item is collected or shipped. The company will store uncollected items for a reasonable period and will contact the client before taking any further step.

Safety and Field Conduct

Mountain activities carry inherent risks that cannot be eliminated. The company plans carefully, briefs participants and provides equipment suited to the stated objective, but it cannot guarantee a particular outcome or remove every hazard from the terrain.

Participants are expected to follow the instructions of a guide or crew lead, to disclose relevant limitations before an outing, to carry the equipment they are asked to carry and to remain with the group unless told otherwise. A participant who disregards a safety instruction may be asked to leave an activity.

The company may alter or cancel an activity where conditions present a risk it considers unacceptable. A decision to turn around is part of sound practice and is not a failure of the service. Safety decisions made in the field are final for the duration of the activity.

Third Party Services

The company may arrange transport, lodging, permit access or supplier services through other organizations. Those organizations provide their services under their own terms, and the company cannot guarantee their performance beyond the care it takes in selecting them.

Where a third party service fails or causes a delay, the company will assist the client in resolving the matter and will pass on any information it holds. The company is not responsible for a loss caused solely by a third party beyond the amount it is able to recover from that party.

Links to third party websites are provided for convenience. The company does not control those sites and is not responsible for their content, accuracy or data practices.

Intellectual Property

The text, layout, illustrations and design of this website are owned by Allin Alpa, LLC or used with permission. They are protected by copyright and other applicable rights. No licence to reproduce them for a commercial purpose is granted by these terms.

Working documents created for a client, such as a season plan, a crew schedule or a repair record, are prepared for the client to use in connection with the engagement. The company retains ownership of its underlying methods, templates and reference material.

A client may not remove a proprietary notice from a document supplied by the company. A client may not publish a document in a way that suggests the company endorses a different service or product.

Confidentiality

Each party may receive information that the other treats as confidential. Confidential information includes route plans, client lists, pricing details, equipment inventories, safety records and any other material marked as confidential or reasonably understood to be private.

A receiving party will use confidential information only for the purpose of the engagement, will limit access to people who need it and will protect it with reasonable care. These obligations do not apply to information that is already public, that is independently developed without reference to the disclosed material, or that must be disclosed by law after notice to the other party where notice is permitted.

Confidentiality obligations continue after an engagement ends for as long as the information remains commercially sensitive. Records are returned or deleted at the end of an engagement unless retention is required by law or by the written agreement.

Disclaimers

The website and its content are provided for general information. While the company takes care to keep the site accurate and current, it does not warrant that every page is complete, error free or suitable for a particular purpose. A visitor who relies on general information does so at their own discretion.

Descriptions of services on the website are summaries. The specific terms of an engagement are found in the written proposal or service agreement, and those specific terms prevail over a general description on the site.

Nothing on this website constitutes legal, medical, financial or professional advice outside the services the company actually provides. A person with a question in one of those areas should consult a qualified professional.

Limitation of Liability

To the fullest extent permitted by law, Allin Alpa, LLC is not liable for indirect, incidental, special or consequential losses arising from the use of this website or from an engagement, including loss of profit, loss of opportunity or loss of data.

Where liability cannot be excluded, the total liability of the company arising from an engagement is limited to the amount paid by the client for the specific service giving rise to the claim. This limitation does not apply to liability that the law does not permit to be limited, such as liability for fraud or for death or personal injury caused by proven negligence.

Nothing in these terms reduces a right that a consumer may have under mandatory law. Where a consumer protection rule applies, these terms are read so that they remain valid to the greatest extent possible.

Indemnification

A client agrees to indemnify and hold harmless Allin Alpa, LLC and its officers and staff against claims, losses and reasonable costs arising from the client use of the website in breach of these terms, from inaccurate information supplied by the client, or from the client infringement of the rights of another person.

Where a claim also involves the company, the company will cooperate in the defense and will keep the client informed of material developments. The company may participate in the defense with counsel of its own choosing where it considers that appropriate.

These obligations survive the end of an engagement and continue for as long as a relevant claim may be brought under applicable law.

Suspension and Termination

The company may suspend access to the website or pause an engagement where a client breaches these terms, fails to pay an invoice when due or creates a risk to the safety of a crew or guide. Where practical, the company will give notice and an opportunity to correct the issue.

Either party may end an engagement in line with the written agreement. A client who ends an engagement remains responsible for fees for work performed up to the date of termination and for approved expenses already incurred.

Where the company ends an engagement for a reason other than a client breach, it will return any prepayment for work not performed and will help the client transition to another provider where requested.

Privacy

The handling of personal information is described in the privacy policy published on this website. That policy explains what is collected, why it is collected and how a person may exercise their rights over it.

A client who shares information about participants in a program is responsible for doing so lawfully and for obtaining any consent that may be required. The company uses that information only for the planning and delivery of the agreed service.

Questions about privacy may be sent to service@allinalpa.lol or raised by telephone at +14587464596. The office will direct a question to the person best placed to answer it.

Changes to These Terms

The company may update these terms to reflect changes in its services, its website or applicable law. The current version is published on this page with an effective date, and a material change will be brought to the attention of active clients where practical.

An engagement is generally governed by the version of these terms in effect when the engagement began, unless the written agreement provides otherwise or the parties agree to adopt a later version.

Continuing to use the website after a revision takes effect indicates acceptance of the revised terms. A visitor who does not accept a revision should stop using the site and may contact the office with any questions.

Governing Law

These terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law rules that would require the application of another jurisdiction.

The parties will first attempt to resolve a dispute through good faith discussion. If discussion does not resolve the matter, the dispute may be brought before a court of competent jurisdiction serving the location of the company office, unless mandatory law requires a different forum.

If a provision of these terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force.

These terms, together with the privacy policy and any signed agreement, form the entire understanding between the parties on the subjects they cover and replace earlier discussions on those subjects.

Contact Information

Questions about these terms, requests for clarification and notices relating to an engagement may be sent to the camp office. Please include the name of the organization, the relevant engagement or invoice reference and a clear description of the question.
